PART A: GENERAL MARKETPLACE TERMS AND CONDITIONS FOR JUPITER EMI STORE
1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of the Jupiter EMI Store ("Marketplace" or "Platform"), operated by Amica Financial Technologies Private Limited ("Company", "we", "us", or "our"), a company incorporated under the laws of India, with its registered office at 32, 3rd Floor, Viraj Building, Plot No. 124, Above HDFC Bank, S V Road, Khar West Mumbai MH 400052.
By accessing or using the Marketplace, whether through the Jupiter mobile application or any associated website, you ("User", "you", or "your") acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and any other policies referenced herein.
If you do not agree to these Terms, you must not access or use the Marketplace.
2. Definitions
"Buyer" means any User who purchases or intends to purchase Products through the Marketplace.
"EMI" means Equated Monthly Instalment, a fixed monthly payment made by a Buyer to repay a credit facility availed for a purchase.
"Payment Partner" means any bank, NBFC, financial institution, payment service provider, or other entity that provides payment options, credit facilities, EMI facilities, or any other financing or payment solutions to Users through the Marketplace, as enabled by us from time to time.
"Marketplace" means the e-commerce platform operated by the Company where third-party sellers list and sell Products to Buyers.
"Products" means goods and/or services listed for sale on the Marketplace by Sellers.
"Seller" means any third-party vendor, merchant, or entity that lists and sells Products on the Marketplace.
3. Eligibility
To use the Marketplace, you must:
- Be at least 18 years of age and competent to enter into a binding contract under the Indian Contract Act, 1872.
- Be a resident of India with a valid Indian mobile number and a valid form of government-issued identification.
- Have a valid Jupiter account in good standing.
The Company reserves the right to refuse access to the Marketplace to any person at its sole discretion, without assigning any reason.
4. Nature of the Marketplace
The Marketplace operates as a technology-enabled platform that facilitates transactions between Buyers and Sellers. The Company is an intermediary and does not directly sell, manufacture, store, or control the Products listed on the Marketplace.
The Company shall not be responsible or liable for the quality, merchantability, fitness for a particular purpose, legality, or availability of any Product listed by a Seller. The contract for sale of a Product is strictly between the Buyer and the Seller.
In compliance with the Consumer Protection (E-Commerce) Rules, 2020, the Company shall ensure that Sellers provide accurate information regarding their Products, including price breakdowns, country of origin, expiry dates (where applicable), and any applicable taxes.
5. Account Registration and Security
Users must register and maintain a valid account on the Jupiter application to access the Marketplace. You agree to provide accurate, complete, and current information and to update such information as necessary.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised access to or use of your account.
The Company shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.
6. Product Listings and Pricing
All Products on the Marketplace are listed by Sellers. While the Company endeavours to ensure accuracy, it does not warrant that Product descriptions, images, pricing, or other content on the Marketplace are accurate, complete, reliable, or error-free.
The price displayed for a Product includes the base price charged by the Seller. Applicable taxes (including GST), shipping charges, and any other fees or levies shall be displayed separately during checkout before the transaction is confirmed.
The Company reserves the right to correct any pricing errors and to cancel orders placed at incorrect prices, even after order confirmation.
7. Orders and Payment
Placing an order on the Marketplace constitutes an offer by you to purchase the Product. Order acceptance and the formation of the contract of sale between you and the Seller shall occur only when the order is confirmed and dispatched.
Payments may be made via UPI, debit card, credit card, net banking, wallet, or any other payment method made available on the Platform from time to time. EMI payment options are governed by Part B of these Terms.
All payments are processed through secure, RBI-compliant payment aggregators/gateways. The Company does not store your complete card or bank account details on its servers.
8. Cancellations, Returns, and Refunds
8.1 Cancellations
Orders once placed by the Buyer cannot be cancelled at the Buyer's discretion. Cancellations shall only be initiated by the Company at its sole discretion, including but not limited to situations such as Product unavailability, pricing errors, or operational constraints. In the event of a Company-initiated cancellation, the Buyer shall be notified accordingly.
8.2 Returns
Buyers are not permitted to return Products on a no-reason basis. Returns shall only be accepted under the following circumstances:
(a) The Product delivered is defective, damaged, or materially different from what was ordered (including wrong product delivery).
(b) In such cases, the Buyer must raise a return request through the Company's Customer Support within 7 (seven) days from the date of delivery of the Product.
(c) Return requests raised beyond the 7-day window shall not be entertained.
(d) The Company reserves the right to inspect and verify the condition of the returned Product before approving the return.
8.3 Refunds
(a) Refunds shall only be processed in cases where the Company cancels an order from its end. Buyer-initiated cancellations are not permitted, and accordingly, no refund shall arise from such requests.
(b) In the case of approved returns under Clause 8.2, the resolution (whether by way of replacement or refund) shall be at the sole discretion of the Company.
(c) Where a refund is applicable, it shall be processed within 14 (fourteen) business days from the date the returned Product is received and inspected by the Company.
(d) Refunds shall be credited to the original payment method used for the transaction. For EMI transactions, refund terms are governed by Part B.
9. Intellectual Property
All content on the Marketplace, including but not limited to logos, trademarks, text, graphics, software, and design elements, is the intellectual property of the Company or its licensors and is protected under applicable intellectual property laws of India.
Users may not reproduce, distribute, modify, or create derivative works from any content on the Platform without prior written consent from the Company.
10. Privacy and Data Protection
Your use of the Marketplace is subject to our Privacy Policy, which describes how we collect, use, store, and share your personal data. By using the Marketplace, you consent to such collection and processing in accordance with the Digital Personal Data Protection Act, 2023 and applicable rules thereunder.
We implement industry-standard technical and organisational measures to protect your personal data from unauthorised access, alteration, disclosure, or destruction.
11. Grievance Redressal
In accordance with the Consumer Protection (E-Commerce) Rules, 2020 and the Information Technology Act, 2000, the Company has appointed a Grievance Officer to address User complaints:

All complaints shall be acknowledged within 48 hours and resolved within 30 (thirty) days from the date of receipt.
13. Limitation of Liability
To the maximum extent permitted by applicable law, the Company, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Marketplace.
The Company's aggregate liability in respect of any claim shall not exceed the total amount paid by you for the specific transaction giving rise to such claim.
Nothing in these Terms shall exclude or limit liability for fraud, wilful misconduct, gross negligence, or death or personal injury caused by negligence.
14. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your use of the Marketplace, or your violation of any applicable law or third-party rights.
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra, India.
Before initiating any legal proceedings, the parties shall endeavour to resolve disputes amicably through mediation or negotiation for a period of 30 (thirty) days.
16. Modifications to Terms
The Company reserves the right to modify, amend, or update these Terms at any time at its sole discretion. Any material changes shall be communicated to Users via the Jupiter mobile application or registered email address.
Continued use of the Marketplace after such modifications constitutes your acceptance of the revised Terms. If you do not agree with the modified Terms, you must discontinue use of the Marketplace.
17. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms, together with the Privacy Policy, EMI Terms (Part B), and any other policies published on the Platform, constitute the entire agreement between you and the Company with respect to the use of the Marketplace and supersede all prior agreements, understandings, and representations.
PART B: EMI FACILITY – TERMS AND CONDITIONS
1. Overview of the EMI Facility
The Jupiter Marketplace offers an Equated Monthly Instalment ("EMI") facility to eligible Users in partnership with CSB Bank ("Payment Partner") to enable the purchase of Products on the Marketplace through staggered payments.
By opting for the EMI facility, you acknowledge and agree that the credit arrangement is directly between you and the Payment Partner. The Company acts solely as a facilitator and technology intermediary and is not a lender or co-lender.
These EMI Terms must be read in conjunction with the General Terms (Part A), the Payment Partner's terms and conditions, and the Honest EMI on Edge CSB RuPay Credit Card Terms and Conditions available at https://jupiter.money/credit-card-emi-terms-and-conditions/ ("Card EMI T&C"). In the event of any conflict between these Terms and the Card EMI T&C, the Card EMI T&C shall prevail to the extent of the conflict.
2. Types of EMI Facilities
2.1 Card EMI
Card EMI allows you to convert a purchase made using the Edge CSB Bank RuPay Credit Card (which are enabled by us from time to time), into monthly installments at a pre-determined interest rate.
Key features:
- The entire purchase amount is charged to your card at the time of transaction.
- Interest rates, processing fees, and GST applicable on the EMI plan are as displayed at the time of checkout.
- The tenure options (e.g., 3 months, 6 months, 9 months, 12 months) and corresponding EMI amounts are determined by the Payment Partner.
- Once an EMI tenure has been chosen, it cannot be changed.
2.2 No-Cost EMI
No-Cost EMI is a subvention-based facility wherein the interest cost is borne by the Seller or the Company as a promotional offer, such that the total amount payable by you equals the original purchase price.
Key features:
- The interest payable on the EMI is offset by an equivalent upfront discount on the Product price.
- Processing fees and applicable GST may still be charged and will be disclosed at checkout.
- No-Cost EMI is available only on select Products and for specific tenure options as displayed on the Product listing.
- Availability of No-Cost EMI is subject to Seller participation and may be withdrawn at any time without prior notice.
3. EMI Eligibility
Eligibility for the EMI facility is determined by the Payment Partner and may depend on:
(a) Your credit score and creditworthiness as assessed by the Payment Partner.
(b) The card type, card performance, and available credit limit on your Edge CSB Bank RuPay Credit Card.
(c) The Product category and order value (minimum transaction value of ₹2,500 or such other amount as specified by the Payment Partner from time to time).
(d) Your transaction history and account standing with Jupiter.
(e) Applicable laws and internal policies of the Payment Partner.
The Company does not guarantee the availability of EMI for any User or transaction. The Payment Partner's decision on eligibility shall be final and binding.
4. Interest Rate, Fees, and Charges
All applicable interest rates, processing fees, GST, foreclosure charges, late payment charges, and any other fees or charges associated with the EMI facility shall be displayed to you on the Platform at the time of purchase or availing such facility. Such charges are determined by and subject to the terms and conditions of the Payment Partner.
Key charges include:
(a) Interest Rate: Starting from 1.33% per month (or such rate as communicated by the Payment Partner at the time of availing the facility), calculated on a monthly reducing balance.
(b) Processing Fee: ₹99 or 1% of the total amount being converted to EMI, whichever is higher, plus applicable GST.
(c) Foreclosure Charges: 3% of the remaining principal amount, plus applicable taxes (refer Clause 5.3 below).
(d) Late Payment Charges: As per the Payment Partner's Credit Card terms.
(e) GST: Applicable on processing fee, interest, and foreclosure charges as per applicable laws.
By proceeding with a transaction or availing any payment or financing facility on the Marketplace, you expressly acknowledge and agree to the terms and conditions, fee structure, and charges of the applicable Payment Partner as displayed on the Platform at the time of such transaction.
5. Cancellations, Foreclosure, and Refunds for EMI Transactions
5.1 Cancellation by User
EMIs once opted and activated by the User cannot be cancelled. However, the User may foreclose the EMI before the completion of its tenure in accordance with Clause 5.3 below.
5.2 Cancellation by the Company
In the event the Company cancels an order for a Product purchased using the EMI facility (including but not limited to reasons of Product unavailability, pricing errors, or operational constraints), the following shall apply:
(a) The User may foreclose the EMI through the Jupiter App.
(b) Upon foreclosure, the principal amount of the EMI shall be refunded to the User's original payment method (i.e., reversed to the Edge CSB Bank RuPay Credit Card used for the transaction).
(c) All other charges incurred by the User in connection with the EMI — including processing fees, interest paid, foreclosure charges, and applicable taxes — shall be refunded to the User in the form of Jewels (Jupiter's rewards currency), credited to the User's Jupiter account.
(d) The refund of the principal amount shall be processed within 5–7 business days from the date of foreclosure, subject to the Payment Partner's processing timelines.
5.3 Foreclosure of EMI
(a) The User may foreclose (i.e., pre-close) an active EMI at any time before the scheduled closure via the Jupiter App.
(b) A foreclosure charge of 3% on the remaining principal amount, plus applicable taxes, shall be levied by the Payment Partner.
(c) The foreclosure amount payable by the User shall comprise: (i) the outstanding principal amount; (ii) foreclosure fees; and (iii) interest payable, along with applicable taxes. This amount shall be reflected in the next Credit Card statement.
(d) Jewels rewarded against the original transaction shall be clawed back upon conversion to EMI. Jewels shall not be credited back in the event of EMI cancellation or foreclosure.
5.4 Refund Timelines
Refunds, where applicable, shall be initiated within 5–7 business days from the date of successful foreclosure or cancellation, subject to the Payment Partner's processing timelines.
6. Role of the Company
The Company acts solely as a technology platform facilitating the EMI facility between you and the Payment Partner. The Company:
- Does not guarantee the approval or availability of any EMI facility.
- Is not responsible for any credit decisions made by the Payment Partner.
- Shall not be liable for any disputes between you and the Payment Partner regarding the EMI facility.
- Does not collect, service, or recover any EMI payments on behalf of the Payment Partner, unless explicitly authorised.
